These Terms and Conditions (“Terms”) govern participation in the Shyne Studios Affiliate Program (“Program”).
By joining the Program, you (“Affiliate”) agree to be bound by these Terms.
If you do not agree, do not register or participate.
1. Definitions
1.1 Affiliate – An individual or entity approved by Shyne Studios to participate in the Program.
1.2 Shyne Studios / We / Us / Company – Refers to Shyne Creative Studios, a company registered in Kenya.

1.3 Affiliate Link / Referral Link or Code – A unique tracking link issued to an Affiliate for referrals.
1.4 Qualified Sale – A completed and paid order placed through the Shyne Studios website using a valid Affiliate Link that has not been canceled, refunded, charged back, or flagged as fraudulent.
1.5 Commission – The reward payable to an Affiliate per Qualified Sale.
1.6 Gross Order Value – Total value of products sold, excluding discounts, taxes, shipping fees, and processing charges.
2. Personal Information & Data Privacy
2.1 Information Collected
During registration, affiliates are required to provide:
Full name
Email address
Phone number
Valid government-issued ID and/or Passport
Payment details (e.g., M-PESA or bank account)
2.2 Use of Information
Collected data will only be used for:
Affiliate verification and approval.
Program administration and payout processing.
Fraud prevention and legal compliance.
2.3 Data Protection Compliance
Shyne Studios complies with the Kenya Data Protection Act, 2019 and will:
Securely store all personal data.
Not sell or share affiliate data with third parties unless required by law.
Process data strictly for Program-related purposes.
3. Enrollment & Approval
3.1 Registration Process
Affiliates must:
Complete the official registration form accurately.
Upload required identification documents.
Agree to these Terms before account approval.
3.2 Verification
Approval is at Shyne Studios’ sole discretion, based on:
Document verification.
Fraud and compliance checks.
3.3 Independent Contractor Status
Affiliates are independent contractors, not employees or agents of Shyne Studios.
They are not entitled to employment benefits, statutory contributions, or labor protections.
Affiliates cannot legally bind or represent Shyne Studios in any capacity.
4. Commission Structure & Payments
4.1 Commission Rate
Affiliates earn 10% commission on the Gross Order Value of each Qualified Sale.
4.2 Commission Eligibility
Commissions accrue only when an order is marked Completed in the system.
Orders that are canceled, refunded, unpaid, or fraudulent do not qualify for commissions.
4.3 Payment Schedule
Payouts are processed 24 hours after an order is marked Completed, provided no disputes or investigations are pending.
Shyne Studios reserves the right to delay payouts to verify order authenticity.
4.4 Payment Method
Payments are made via M-PESA or bank transfer.
Affiliates are responsible for providing accurate and active payment details.
Shyne Studios is not liable for delays or losses caused by incorrect payment details or third-party payment providers.
4.5 No Minimum Payout Threshold
Commissions are paid regardless of balance amount — there is no minimum threshold.
4.6 Self-Referrals Prohibited
Affiliates cannot earn commissions on their own purchases or through fake accounts.
4.7 Fraud Prevention
Shyne Studios reserves the right to withhold or reverse commissions for:
Fraudulent transactions.
Manipulated traffic or referral data.
Misrepresentation of products or services.
5. Affiliate Obligations
5.1 Ethical Promotion
Affiliates must promote Shyne Studios honestly, legally, and professionally, in compliance with Kenyan marketing laws.
5.2 Disclosure of Affiliate Relationship
Affiliates must disclose that they may earn commissions when promoting Shyne Studios.
Example:
“I may earn a commission if you purchase through this link.”
5.3 Prohibited Conduct
Affiliates may not:
Engage in spam marketing or unsolicited promotions.
Misrepresent prices, discounts, or product features.
Use Shyne Studios trademarks in paid advertising without written approval.
Collect payments directly from customers (see Section 12).
Make defamatory or false statements about Shyne Studios.
5.4 Intellectual Property Use
Shyne Studios retains exclusive ownership of all branding, images, and promotional materials.
Affiliates are granted limited, revocable, non-exclusive rights to use materials for promotion only.
Any affiliate-created promotional content automatically grants Shyne Studios a joint right to use and repurpose it.
6. Handling Misrepresentation & Customer Disputes
6.1 Misrepresentation by Affiliates
If a customer makes a purchase due to false or misleading information provided by an affiliate:
Shyne Studios may cancel the sale and withhold commissions from the affiliate.
The affiliate may face immediate suspension or termination.
6.2 Company Accountability
If Shyne Studios fails to deliver on its commitments:
The company will resolve the issue directly with the customer, including refunds where applicable.
Affiliates will not be held financially responsible for company delivery issues.
6.3 Investigation Authority
Shyne Studios reserves the right to:
Investigate disputes thoroughly.
Delay or cancel payouts during investigations.
Take legal action against affiliates engaged in fraud or misconduct.
7. Customer Payments & Authorized Channels
7.1 Official Payment Methods
All customer payments must be made only through:
The Shyne Studios website checkout, which triggers an M-PESA STK Push for secure payments, or
The official M-PESA Paybill and official bank account as provided below:

Payments made outside these authorized channels will not be recognized by Shyne Studios.
7.2 Affiliates Cannot Collect Payments
Affiliates are strictly prohibited from:
Receiving, handling, or collecting payments on behalf of Shyne Studios,
Accepting cash, M-PESA transfers, or bank deposits directly from customers,
Providing personal payment numbers for customer transactions.
All customers must be directed to pay exclusively via official Shyne Studios systems.
7.3 Liability Disclaimer
Shyne Studios will not be liable for:
Any losses, disputes, or failed deliveries resulting from payments made to affiliates or other third parties,
Refunds where proof of payment to official channels cannot be provided by the customer.
Customers who make payments outside official channels do so entirely at their own risk.
7.4 Breach Consequences
If an affiliate violates this policy by collecting payments:
The affiliate’s account will be immediately terminated.
All pending commissions will be forfeited.
Shyne Studios reserves the right to take legal action for damages, fraud, and reputational harm.
This ensures zero tolerance for unauthorized handling of customer funds.
7.5 Affiliate Duty to Educate Customers
Affiliates must proactively educate customers about safe payment practices by clearly stating:
“For your safety, please pay only via the official Shyne Studios website, paybill, or bank account.
Do not give cash or make direct payments to me or any affiliate.
Payments outside official channels are at your own risk.”
Failure to communicate this properly may be treated as non-compliance with affiliate guidelines.
8. Commission Tracking & Limitations
8.1 Tracking Technology
Commission tracking is handled by the Shyne Studios affiliate system.
8.2 No Liability for Tracking Issues
Shyne Studios is not responsible for:
Lost commissions due to tracking errors.
Browser or device-related tracking failures.
8.3 Last-Click Attribution
The last valid affiliate link clicked before checkout determines which affiliate earns the commission.
9. Termination & Modification
9.1 Immediate Termination
Shyne Studios may terminate an affiliate immediately for:
Fraudulent activities.
Violation of these Terms.
Actions that harm Shyne Studios’ reputation.
9.2 Termination Without Cause
Shyne Studios may terminate any affiliate without cause by giving 30 days’ written notice.
9.3 Post-Termination Payouts
Valid commissions earned before termination will be paid if all conditions are met.
9.4 Modification of Terms
Shyne Studios may update these Terms at any time.
Affiliates will be notified via email or platform updates.
Continued participation implies acceptance of changes.
10. Confidentiality & Indemnity
10.1 Confidential Information
Affiliates must not disclose confidential Shyne Studios information, including:
Business strategies.
Product pricing and future releases.
10.2 Indemnification
Affiliates agree to indemnify Shyne Studios against:
Claims arising from affiliate actions.
Misrepresentation, fraud, or non-compliance with law.
Third-party disputes caused by affiliate activities.
11. Dispute Resolution & Governing Law
11.1 Governing Law
These Terms are governed by Kenyan law.
11.2 Dispute Resolution
Initial resolution through good-faith negotiation.
If unresolved, proceed to mediation.
If still unresolved, final determination by Nairobi courts.
12. Miscellaneous
12.1 Severability
If any section of these Terms is found unenforceable, the remaining sections remain valid.
12.2 Non-Exclusivity
Affiliates may join other programs, and Shyne Studios may work with multiple partners simultaneously.
12.3 Non-Transferability
Affiliate accounts and benefits cannot be transferred or sold without Shyne Studios’ written consent.
12.4 Entire Agreement
These Terms constitute the entire agreement, superseding prior arrangements or representations.
